Please read these terms and conditions in full. They exist to provide clarification of the agreement between you, the Client, and us, the agency when you commission the services of Scoot.
The Quote:
Prior to work starting, we will provide an estimate for the total cost of the work to be undertaken. Estimated costs are valid for 30 days from the date of the quote.
If the parameters of a project change significantly either before or after a project begins, or if it involves much more time than originally quoted, we will inform you so that we can renegotiate the quoted amount for a project.
Should such changes negate any part of a project already completed at the time of the changes, the Client accepts responsibility for payment for the completed work and all services related to it, in addition to charges for new work arising from the change itself.
Invoicing Procedures:
We require a purchase order number or an email confirmation of your order before beginning work on a project. This can be done via email or letter to:

You will receive the final invoice for a project upon approving the completed work. If we have not received any comments or revisions within a week of submitting a completed draft, we will consider a project complete and will send the invoice.
Payment for any project is due 30 days from the invoice date, unless agreed otherwise.
Please note that the conditions of the Late Payment of Commercial Debts (Interest) Act 1998 apply to all invoices. Any late payment will therefore be subject to the applicable late fees and/or interest. Parties cannot contract out of the Act’s provisions.
Payment Schedules:
For a project with an estimated fee of £500.00 or more, we require 50% of the total cost to be paid prior to the job starting. The remainder cost required on completion prior to release. For a project with an estimated fee of £5,000.00 or more, we may alter the stage payments as appropriate. When working with a Client for the first time, or if the Client is not a UK Limited Company, we reserve the right to require 100% upfront.
Cancellations:
Should you decide to terminate a project after work has begun, we will invoice you for the work completed up to that point and any expenses incurred as per the Quote and Service Charges described in this document. Ownership of all copyrights and the original artwork shall be retained by Scoot unless full payment is made.
For all retainer contracts, 30 days written notice is required if the Client or Scoot wish to terminate the contract.
Delays & Termination:
All payments received are not refundable in the event a project or the relationship is terminated for any reason. If any part of the work for any project is delayed for longer than 30 days, Scoot will bill for work completed.
Consequences of Non-Payment:
Scoot reserves the right to suspend work and/or withhold issuing any project documents if invoice payments are not received within a reasonable period of time from invoice date.
Work Hours/Days:
Scoot operates on a traditional business week. Our office will be operational between the hours of 9:00am and 5:00pm, Monday – Friday. In exceptional circumstances, we will work out with these hours to accommodate deadlines and client time zones.
Scoot is closed on all major holidays and 2 weeks over Christmas and New Year.
Acceptance of the Work:
Upon acceptance of the work, the Client accepts responsibility for any further processes in which this work is used (e.g. printing, online publication, etc.). The designers are not responsible for errors occurring in this work or projects related to it, after acceptance of this work.
Ownership of the Final Product:
Following payment, the Client will retain the rights to all artwork created throughout a project.
Schedule:
The work outlined in your agreement will be turned around within a reasonable, non-rush schedule to be determined, where possible, and mutually agreed upon at the start of each project.
Client Responsibilities:
The Client will provide accurate, complete and timely information and materials to Scoot.
The Client guarantee that they have all the necessary rights and ownership in such materials to permit Scoot to use them for a project.
Client Approvals:
You will approve and proofread all final designs, type, & proofs. Scoot will make all efforts to ensure that no information is misrepresented. However, the Client assumes all responsibility for the content.
The Client’s approval of all tangible materials and artwork will be assumed after the work has been submitted to The Client for review unless The Client indicates otherwise in writing.
Samples:
Scoot can use samples or photographs of the work created under this agreement and the name of the Client for publications, exhibition, competition and other promotional purposes (such as our website) once a project has been made public.
